Terms of Service

1) Agreement to Terms

These Terms of Service are a binding agreement between you and Assist Mi. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2) The Service

Assist Mi connects to third-party services (including Slack, Google Workspace, email, calendars, and documents), processes user-authorized content, extracts artifacts such as tasks, commitments, decisions, and risks, and generates briefs and operational insights.

When enabled and configured by you or your organization, Assist Mi may store and serialize derived artifacts into user-selected external systems (such as Notion databases, Google Sheets, and task tools). We may update, modify, or enhance the Service over time.

3) Eligibility and Account Security

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. Organization administrators are responsible for user management and access controls within their tenant.

4) Customer Data; Permissions

"Customer Data" means content retrieved from connected systems. "Derived Data" means summaries, extracted artifacts, embeddings, metadata, and other outputs generated from Customer Data as part of the Service.

You retain ownership of Customer Data. You may use Derived Data produced by the Service. Assist Mi may retain and process Derived Data as necessary to operate, secure, support, and improve the Service consistent with our Privacy Policy.

You grant Assist Mi a limited, non-exclusive license to access and process Customer Data solely to provide the Service. Access scope is limited to the permissions you configure and authorize. If serialization features are enabled, Assist Mi may write artifacts to external systems at your direction.

5) AI Features and Outputs

AI-generated outputs may contain errors or omissions. You are responsible for reviewing outputs and for decisions made based on those outputs. Assist Mi does not provide legal, financial, medical, or compliance advice.

AI processing may involve third-party model providers and, where configured by customers, customer-managed local or on-premise model deployments.

6) Acceptable Use

You may not use the Service for unlawful activity, to interfere with Service operations, to introduce malware, to perform unauthorized security testing, or to reverse engineer the Service except where legally permitted.

7) Security and Confidentiality

Assist Mi implements reasonable administrative, technical, and organizational safeguards and treats Customer Data as confidential. Internal access is limited by least-privilege principles. No security control can guarantee absolute protection.

8) Subscriptions, Fees, and Taxes

Paid plans are billed in advance according to your order terms. Fees are non-refundable except as required by law. You are responsible for applicable taxes, duties, and similar charges. Payments may be processed by authorized third-party processors.

9) Suspension; Termination

You may stop using the Service at any time. We may suspend or terminate access for violations of these Terms, security risk, or non-payment. Upon termination, access to the Service ends and data handling follows our Privacy Policy and applicable contractual terms.

10) Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory.

11) Limitation of Liability

To the maximum extent permitted by law, Assist Mi is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, goodwill, or data. Our aggregate liability for claims arising out of or related to the Service will not exceed amounts paid by you for the Service in the 12 months preceding the claim.

12) Indemnification

You agree to defend, indemnify, and hold harmless Assist Mi from claims, damages, liabilities, and expenses arising from your misuse of the Service, violation of these Terms, or violation of applicable law or third-party rights.

13) Governing Law; Venue

These Terms are governed by the laws of the State of California, excluding conflict of laws rules. The parties consent to exclusive jurisdiction and venue in state or federal courts located in California.

14) Changes to Terms

We may update these Terms from time to time. Updated terms will be posted on this page. Continued use of the Service after updated Terms are effective constitutes acceptance.
